By accessing or using the NOVA Collective website at www.novacollective.vip (the "Site"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Site.

NOVA Collective reserves the right to modify these Terms at any time. Changes take effect upon posting to the Site. Your continued use of the Site after modifications constitutes acceptance of the updated Terms.

2. Description of Services

NOVA Collective is a private, membership-based professional workspace collective for independent beauty and personal care professionals in Louisville, Kentucky. Through this Site, we provide:

• Information about NOVA Collective membership opportunities
• An interest list registration for prospective members
• A membership application for qualified professionals
• Secure deposit processing for approved applicants

3. Membership Structure

NOVA Collective operates under a Master Membership Agreement — not a lease. By applying for and joining NOVA Collective, members acknowledge that:

• Members pay membership dues, not rent
• Members receive a revocable, non-exclusive license to use a designated workspace within the collective
• NOVA Collective retains control and possession of the entire premises at all times
• The license is not transferable and grants no tenancy rights whatsoever
• Access may be revoked in accordance with the terms of the Master Membership Agreement

The relationship between NOVA Collective and its members is that of licensor and licensee — not landlord and tenant.

4. Membership Application Process

Submitting a membership application does not guarantee acceptance. NOVA Collective reviews each application for professional fit, readiness, and alignment with our community standards. We reserve the right to accept or decline any application at our sole discretion.

5. Founding Member Deposit

Approved applicants may be invited to secure their membership with a $500.00 USD refundable deposit. By submitting a deposit, you acknowledge:

• The deposit is fully refundable at any time prior to your move-in date upon written request
• The deposit secures your priority position among Founding Members
• The deposit does not constitute a lease, rental agreement, or binding commitment to occupy space
• Payment is processed securely through Stripe
• Refund requests should be directed to support@novacollective.vip

6. Membership Benefits

Active NOVA Collective members enjoy the following benefits as part of their membership:

• 24/7 keypad access to the collective
• Utilities included (electric, water, HVAC)
• High-speed Wi-Fi
• Common area access (reception, lounge, break room)
• Shared amenities as applicable to membership tier

Specific benefits and tiers are detailed in the Master Membership Agreement provided to approved members.

7. User Conduct

When using this Site, you agree not to:

• Provide false or misleading information in any form submission
• Use the Site for any unlawful purpose
• Attempt to gain unauthorized access to any portion of the Site or its systems
• Interfere with or disrupt the Site's operation
• Scrape, harvest, or collect information from the Site without permission

8. Intellectual Property

All content on this Site — including but not limited to text, graphics, logos, images, videos, and design elements — is the property of NOVA Collective and is protected by applicable intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any content on this Site without our prior written consent.

9. Disclaimer of Warranties

The Site and its content are provided "as is" and "as available" without warranties of any kind, either express or implied. NOVA Collective does not warrant that the Site will be uninterrupted, error-free, or free of harmful components.

Information on the Site regarding timelines, availability, and suite specifications is subject to change and does not constitute a binding commitment.

10. Limitation of Liability

To the fullest extent permitted by law, NOVA Collective and its owners, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Site, your application for membership, or any deposit submitted.

Our total liability for any claim arising from or related to the Site shall not exceed the amount you have paid to us (if any) in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless NOVA Collective, its owners, officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of the Site or violation of these Terms.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the Commonwealth of Kentucky, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the Site shall be resolved exclusively in the state or federal courts located in Jefferson County, Kentucky.

13. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
